In a SPAC-surviving merger, the listed SPAC absorbs the unlisted company, so the SPAC's listing is maintained, the new merger shares are additionally listed and the company name is changed, among other things.

In a SPAC-dissolving merger, the unlisted company survives and absorbs the SPAC, so the SPAC is delisted and the unlisted company's shares are newly listed. Previously only surviving mergers were permitted, but in consideration of the inconvenience of the unlisted company losing its legal personality and track record, the listing rules were amended in August 2021 to allow dissolving mergers from February 2022.
