Can a listed company in a management control dispute issue privately placed convertible bonds?

This is restricted. During the period from when minority shareholders request the convening of a general meeting, or apply to the court for permission to convene one, to dismiss officers until the dismissal is decided; while litigation related to a management dispute is pending, such as a suit to suspend an officer's duties or to invalidate or cancel a resolution of the general meeting; and while proceedings are under way after a comparable control dispute has been reported and disclosed, the company cannot issue convertible bonds other than by shareholder allotment or general public offering.

This rule also applies mutatis mutandis to bonds with warrants. It is a safeguard to keep convertible bonds from being allotted to particular persons to change the ownership structure during a dispute.
